1. Agreement to Terms

By accessing or using CaregivingWorks (the "Site"), you agree to be bound by these Terms and Conditions. This Site is owned and operated by Rain Vibe Studios. If you do not agree with these terms, you must stop using the Site immediately.

2. Nature of Services

CaregivingWorks is a venue and platform only. We provide a marketplace for individuals seeking care services ("Clients") and individuals providing care services ("Caregivers").

• No Agency:We do not employ Caregivers, nor are we an employment agency.
• No Recommendation:We do not recommend or endorse any specific Caregivers or Clients.
• User Responsibility:Users are solely responsible for interviewing, vetting, and performing background checks on any person they meet through the Site.

3. Eligibility and Conduct

Users must be at least 18 years old. You agree to provide accurate, current, and complete information during registration. You are prohibited from using the Site for any illegal purpose or to harass, abuse, or harm another person.

4. Limitation of Liability

To the maximum extent permitted by Canadian law, Rain Vibe Studios (operating CaregivingWorks) and its directors, employees, or agents shall not be liable for:

• • Any direct, indirect, incidental, or consequential damages resulting from the use of the Site.
• • Any physical injury, property damage, or financial loss arising from interactions or contracts between Clients and Caregivers.
• • The conduct of any user, whether online or offline.
• Total Liability:Our total liability for any claim arising out of these terms shall not exceed the amount you paid us (if any) to use the Site in the last six months.

5. Indemnification

You agree to indemnify, defend, and hold harmless Rain Vibe Studios (operating CaregivingWorks) from any claims, losses, or expenses (including legal fees) arising from your use of the Site, your violation of these terms, or your interactions with other users.

6. Background Checks and Verification

While the Site may offer tools to assist in verification, we do not guarantee the accuracy of any background checks or user identity. The "Trust and Safety" of an engagement is the sole responsibility of the Users.

7. Payment Terms

If you process payments through the Site, you agree to the terms of our third-party payment processor (e.g., Stripe). CaregivingWorks is not responsible for payment disputes between Clients and Caregivers.

8. Intellectual Property

All content on this Site, including logos, text, and code, is the property of Rain Vibe Studios and is protected by Canadian copyright laws.

9. Termination

We reserve the right to suspend or terminate your account at any time, without notice, for any conduct that we believe violates these Terms or is harmful to other users or our business interests.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any legal action must be brought in the courts of Brampton, Ontario.

11. Changes to Terms

We may update these terms from time to time. Your continued use of the Site after changes are posted constitutes acceptance of the new terms.

12. Communications and Anti-Spam Policy

By creating an account, you provide your express consent to receive electronic communications from Rain Vibe Studios (operating CaregivingWorks), including newsletters, site updates, and promotional offers.

• Compliance:We comply with the Canadian Anti-Spam Legislation (CASL), the U.S. CAN-SPAM Act, the EU ePrivacy Directive, and the Australian Spam Act 2003.
• Unsubscribe:Every commercial electronic message will include a functional "unsubscribe" mechanism. You may opt-out at any time; however, you will still receive transactional emails (e.g., password resets or billing receipts).
• User Prohibitions:You are prohibited from using our communication tools to send bulk unsolicited messages ("spam") to other users. Violation of this will result in immediate account termination.

13. Privacy and Data Protection

Your privacy is governed by our Privacy Policy. By using the Site, you consent to the collection, use, and disclosure of your personal information as follows:

• Data Collection:We collect identifying information (name, email) and usage data (IP address, cookies, browsing behaviour) to improve our services.
• Legal Compliance:We process data in accordance with PIPEDA (Canada), GDPR (EU/UK), CCPA (USA), and the Privacy Act 1988 (Australia).
• Data Sharing:You authorise us to share information with third-party service providers necessary for site operation. We do not sell your personal data to third parties for marketing without your explicit consent.
• International Transfers:You acknowledge that your data may be processed or stored on servers located outside of your home country. We ensure adequate safeguards are in place as required by applicable law.
